1. Agreement to Terms

These Terms of Service ("Terms") are entered into by and between Beijing Yuhui Zhixin Technology Co., Ltd. ("Company," "we," "us," or "our") and you ("you," "your," or "user"). By accessing or using our website www.yuhuizhixindev.com (the "Site") or our mobile applications published on Google Play and Apple App Store (the "Apps"), you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Site or Apps.

2. Description of Services

Beijing Yuhui Zhixin Technology Co., Ltd. provides technology solutions and services including but not limited to:

  • Software development and customization
  • Mobile application development for iOS and Android platforms
  • Internet of Things (IoT) solutions and integration
  • System integration services
  • Big data analytics and processing services
  • Enterprise consulting and digital transformation services
  • Computer peripherals and electronic components sales
  • Security equipment sales and installation
  • Import/export services
  • Exhibition and event planning services

3. Acceptance of Terms

By creating an account, downloading, installing, or using our Apps, or by accessing or using our Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Site or Apps on behalf of an organization, you are agreeing to these Terms for that organization and representing that you have authority to bind that organization to these Terms.

5.2 Age Restrictions

Our Apps are intended for users who are 13 years of age or older (or 16 years of age in the European Union). By downloading or using our Apps, you represent that you meet the minimum age requirement. Parents and guardians are responsible for supervising their children's use of mobile applications.

5.3 Device Requirements

You are responsible for ensuring your device meets the minimum requirements for our Apps, including compatible operating systems and available storage space. We reserve the right to discontinue support for older device versions or operating systems.

5.4 Updates and Modifications

We may release updates to our Apps from time to time. You may need to update the App to access certain features. We are not obligated to maintain compatibility with older versions of the App or operating systems.

6. Intellectual Property Rights

6.1 Ownership

The Site, Apps, and all content, features, and functionality thereof, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, software, and the compilation thereof, are owned by Beijing Yuhui Zhixin Technology Co., Ltd. or its licensors and are protected by copyright, trademark, and other intellectual property laws.

6.2 Trademarks

The Company name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of the Company or its affiliates. You may not use such marks without prior written permission from the Company.

6.3 User Content

You retain ownership of any content you submit, post, or display on or through the Site or Apps ("User Content"). By submitting User Content, you grant the Company a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content.

7. Advertising in Apps

Our mobile applications may include advertising. By using our Apps, you acknowledge and agree that:

  • The Apps may display various types of advertisements including splash screen ads, interstitial ads, rewarded video ads, and banner ads
  • Third-party ad networks may collect information about your device and usage patterns
  • Ad content may be relevant to your interests based on information collected
  • You have the option to limit certain types of advertising through your device settings
  • The Company is not responsible for the content of advertisements provided by third parties

8. User Conduct

You agree not to:

9. Payment Terms

For subscription-based services, you agree to pay all fees associated with your subscription. Subscriptions will automatically renew unless cancelled in advance. Refunds are subject to our refund policy.

We do not warrant that:

  • The Site or Apps will meet your specific requirements
  • The results obtained from use of the Site or Apps will be accurate or reliable
  • The quality of any products, services, information, or content obtained through the Site or Apps will meet your expectations

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL BEIJING YUHUI ZHIXIN TECHNOLOGY CO., LTD. OR ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OR OFFICERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SITE OR APPS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR $100, WHICHEVER IS GREATER.

14. Indemnification

You agree to indemnify, defend, and hold harmless Beijing Yuhui Zhixin Technology Co., Ltd. and its affiliates, licensors, service providers, employees, agents, and officers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees arising out of:

  • Your access to or use of the Site or Apps
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your User Content
  • Any harmful or fraudulent use of the Site or Apps

15. Governing Law

15.1 Primary Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law principles.

15.2 Consumer Protection

If you are a consumer located in a jurisdiction with mandatory consumer protection laws, nothing in these Terms shall limit your statutory rights. In case of conflicts, applicable consumer protection laws shall prevail.

15.3 Dispute Resolution

Any disputes arising from these Terms shall be resolved through good faith negotiations. If negotiations fail, disputes may be submitted to arbitration in accordance with the rules of the relevant arbitration institution.

16. App Store Terms

To the extent that the terms and conditions imposed by Google Play Store or Apple App Store conflict with these Terms, the app store terms shall prevail with respect to matters covered by those terms.

By downloading our Apps from Google Play Store, you acknowledge and agree to the Google Play Terms of Service.

By downloading our Apps from Apple App Store, you acknowledge and agree to the Apple Media Services Terms and Conditions.

17. Age Verification and Children's Use

Our Apps include age verification mechanisms in compliance with app store policies and applicable laws including COPPA (Children's Online Privacy Protection Act) and GDPR-K (General Data Protection Regulation for children).

If you are under the minimum age (13 years, or 16 years in the EU), you may need parental consent to use our Apps. Parents and guardians should review the age ratings and content descriptions before allowing children to use our applications.

18. Termination

We may terminate or suspend your access to the Site or Apps immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Site and Apps will cease immediately.

19. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Site or Apps after any revisions become effective, you agree to be bound by the revised terms.

20. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable. If modification is not possible, the provision shall be severed from these Terms, and the remaining provisions shall continue in full force and effect.

21. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Beijing Yuhui Zhixin Technology Co., Ltd. regarding your use of the Site and Apps, and supersede all prior agreements and understandings, whether written or oral.
